Vancouver, Canada. May 5, 2021 — NervGen Pharma Corp. (TSX-V: NGEN; OTCQX: NGENF) (“NervGen” or the “Company”), a biotech company dedicated to creating innovative solutions for the treatment of nerve damage and neurodegenerative diseases, announced that it has priced its previously announced overnight, “best efforts” marketed public offering (the “Offering”) of units (the “Units”). Pursuant to the Offering, NervGen will issue an aggregate of up to 3.25 million units of the Company at a price of C$1.55 per Unit for aggregate gross proceeds of up to approximately C$5 million. Each Unit is comprised of one common share of the Company (a “Common Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant is exercisable at a price of C$2.10 and entitles the holder thereof to acquire one common share of the Company (a “Warrant Share”) for a period of 2 years following the closing of the Offering.
The Offering will be completed pursuant to an agency agreement (the “Agency Agreement”) entered into between the Company and a syndicate of agents, as co-lead agents (collectively, the “Agents”). Under the terms of the Agency Agreement, the Company has granted the Agents an over-allotment option (the “Over-Allotment Option”) exercisable, in whole or in part, in the sole discretion of the Agents, to purchase up to an additional 15% of the number of Units sold in the Offering for up to 30 days after the closing, on the same terms and conditions as the Offering. The Company will pay the Agents a cash commission equal to 6.0% of the gross proceeds of the Offering, including proceeds received from the exercise of the Over-Allotment Option and issue broker warrants (the “Broker Warrants”) equal to 6.0% of the number of Units sold under the Offering, including Units issued pursuant to the exercise of the Over-Allotment Option. Each Broker Warrant will be exercisable to purchase one common share of the Company (a “Broker Warrant Share”) at an exercise price equal to the offering price of the Units.
The Company intends to use the net proceeds of the Offering for continued work on their lead drug candidate, NVG-291, and general corporate purposes.
The Offering is to be effected in each of the provinces of British Columbia, Alberta, Ontario and Nova Scotia by way of prospectus supplement (the “Prospectus Supplement”) to the Company’s short form base shelf prospectus dated January 2, 2020. A preliminary prospectus supplement has been filed and is available on SEDAR at www.sedar.com. The Company intends to file a final prospectus supplement to its base shelf prospectus prior to the closing of the Offering. Additionally, the Offering is expected to be conducted by way of private placement in the United States pursuant to certain exemptions from the United States Securities Act of 1933, as amended (the “1933 Act “) and applicable state securities laws as well as other jurisdictions where the Offering can lawfully be made.
The Company has applied for approval of the listing of the Common Shares, Warrant Shares and Broker Warrant Shares on the TSX Venture Exchange (“TSXV”) and expects to close the Offering in the week of May 12, 2021, or such other date as may be mutually agreed to by the Company and the Agent, subject to satisfaction of customary closing conditions, including, but not limited to, the receipt of all necessary stock exchange approvals, such as the final approval of the TSXV.
